BYLAWS OF QUIVERA, INC.
ARTICLE ONE – ORGANIZATION
(a) The name of the organization is Quivera, Inc.
(b) The facility is located at 3232 Airport Road, and the mailing address is: P. O. Box 3076, Salina, KS 674023076
(c) Quivera, Inc. is affiliated with the National Rifle Association of America, 11250 Waples Mill Road, Fairfax, VA 22030
ARTICLE TWO – OBJECTIVES
(a) The objectives and purposes of Quivera, Inc. are to provide and maintain a recreational and educational facility for the members and their families and to provide for the training of youth in the shooting sports.
ARTICLE THREE – MEMBERSHIP
Section 1. Eligibility:
(a) A citizen of the United States of America, who is of good repute and can legally own and purchase a hand gun, shall be eligible for membership in Quivera Inc.
(b) To sponsor a new member for membership in Quivera Inc., the sponsoring member must
have known the prospective new member for a minimum of 1 year. The sponsoring member must have taken the prospective member to the club at least one time as a “temporary member” (guest) and have observed the prospective member shoot on the range and vouch for his or her ability to follow club rules and safely handle firearms.
c) In the absence of a sponsor, a new applicant, prior to being presented for an admission vote, must provide 3 personal references, who will be contacted by a club officer in an attempt to determine eligibility. d) All prospective new members will be required to pass a KBI criminal background check. Applicants holding a current Kansas Concealed Handgun Carry License will be considered to have completed this requirement.
Section 2. Dues:
(a) Initiation fee of $25.00 must accompany an application for membership in Quivera, Inc.
(b) Membership dues are currently $75.00 per year and due January 1st of each year. Dues are considered delinquent after January 31st . Members who have not paid by January 31st will have club access denied and be subject to a $25.00 re-instatement fee.
(c) Junior membership dues shall be $10.00 payable in advance. Initiation fee is $25.00 and will carry over when a junior member is 21 years old and converts to a full membership
(d). A spousal membership shall be $25.00 payable in advance.
This is a non-voting membership for spouses of members and covers administration costs and Insurance. Section 1(d) not required.
(e) Dues schedules may be changed by a majority vote of the officers and members at the annual business meeting after the membership has been notified of the proposal.
Section 3. Admission to membership:
(a) Prospective members may obtain an application for membership only by coming in person to any Thursday evening club event.
(b) Prospective member will be required to attend a safety orientation and then successfully complete a written examination and a live fire demonstration of safe gun handling skills. This orientation will take place at 8:00 AM only on the first Saturday of the month. This orientation will be conducted by the president.
(c) Once having completed the application process, passing the safety orientation and proving NRA membership, the prospective member will be presented with their key card by a member of the Safety Orientation team members.
(d) Once approved by the membership, all fees due to Quivera Inc. will be collected and key card will be issued.
(e) New junior members will receive a membership card and a copy of the bylaws.
They will not have access to use the Quivera, Inc. facilities unless accompanied and supervised by an adult member. Junior members are not eligible to vote.
ARTICLE FOUR – PRIVILEGES OF MEMBERSHIP
(a) All members who comply with safety standards and other regulations and conditions prescribed by the officers of Quivera, Inc. will have access to the facility. Information regarding safety and other information may be posted from time to time for member familiarity.
ARTICLE FIVE-DISCIPLINE
Section 1. Disciplinary Board
(a) The Disciplinary board shall be made up of the elected officers and two (2) at large Club Members. The at large Club Members shall be appointed by the Club President.
(b) A quorum shall consist of four officers and 2 at large members.
Section 2. Complaint
Charges regarding infractions of Club rules by any officer or member may be brought by any other member or officer in writing, stating the facts of the infraction and providing any supporting documents, affidavits of witnesses or exhibits be filed with the Club Secretary who shall notify the Board of Directors. A special meeting of the disciplinary Board shall be held expeditiously to address the charges.
Section 3.Officers
(a) Any Club officer may be removed from office by a two-thirds vote of members, in good standing, attending a special meeting called for this purpose. The officer being removed must be provided notice in writing at least 15 days prior to the meeting date stating the reasons for the removal and stating the date and time for the meeting. The officer being removed shall be afforded sufficient time at the special meeting to rebut the charges. If the officer fails to appear, it shall be deemed that the officer has waived his right to appear and an admission to the charges shall be entered in the minutes and the removal shall be afforded. Any officer removed shall automatically stand removed immediately upon receipt of official notice by the Club Secretary.
Section 4. Members
(a) Suspension. Any Club member (including officers) may be suspended from the club for violation of Club rules by two-thirds vote of the Disciplinary Board at a special meeting called for this purpose. The member being suspended must be provided notice in writing at least 15 days prior to the meeting date, stating the reasons for the suspension and stating the date and time for the meeting. The member being suspended shall be afforded sufficient time at the meeting to rebut the charges. If the member being suspended fails to appear it shall be deemed that the party has waived his/her right to appear and an admission to the charges shall be entered in the minutes and the suspension shall be afforded. Any member or officer suspended shall automatically stand suspended immediately upon receipt of official notice by the Club Secretary.
(b) Removal. Any Club member (including officers) may be removed from the Club for violation(s) of Club rules by a two-thirds vote of members, in good standing, attending a special meeting called for this purpose. The member being removed must provided notice in writing at least 15 days prior to the meeting date, stating the reason(s) for removal and stating the date and time for the meeting. If the party being removed fails to appear it shall be deemed that the party has waived his/her right to appear and an admission to the charges shall be entered to the minutes and the removal shall be afforded. Any member removed shall automatically stand removed immediately upon receipt of official notice by the Club Secretary
The aforementioned meeting shall be called by the Disciplinary Board, following a special meeting where serious violation(s), which would justify removal, would be discussed and a recommendation of removal by a unanimous vote of the board would be required to move the issue to a special meeting of the membership. Failing unanimous vote recommending removal, the guidelines in section 3(a) Suspension shall be followed.
Section 5. Mandatory Expulsion
(a) Any member (including officers) shall be immediately expelled from the Club for any of the following reasons;
1. Expulsion from the National Rifle Association of America.
2. Conviction of any crime which would render the member ineligible to purchase or own firearms.
3. Issuance of any restraining order or order of protection which makes the member ineligible to own or purchase firearms.
4. Any violation of the Clubs rule regarding being under the influence of or the use of any intoxicating substance on club property. It shall be considered that any member who has violated this section shall his or her club access card disabled, and shall be considered as expelled from the club
(b) A member expelled under this rule shall have the right to request a hearing before the membership, at a special meeting to appeal said expulsion, and to present any evidence, witnesses or other information that may be a cause for a reconsideration of the expulsion.
1. Member subject to mandatory expulsion must notify the Club Secretary, in writing, of the request for a hearing within 14 days of being notified of said expulsion.
2. The Club Secretary will schedule a hearing and the membership shall be notified by email and U.S. Postal Service of the date and time of the hearing.
3. At the conclusion of the presentation of evidence and information, the voting members will show, by a vote of hands. Whether or not you uphold the expulsion and the majority shall prevail.
ARTICLE SIX – OFFICERS
Section 1.Number and Election:
(a) The seven officers of Quivera Inc. are listed in Article Six, section 2.
(b)The officers shall be elected at the Annual Meeting of Quivera Inc. by a majority of eligible voting in good standing. Officers shall serve a term of one year effective at the conclusion of the annual meeting.
(c) Nominations for Club officer positions will open at the October business meeting. Serving officers who do not wish to run for re-election must make their decision known to the membership at the October business meeting.
Section 2. Duties of Officers:
(a) President: The president shall preside at all regular and special meeting and appoint committees that may be required.
(b) Vice President: The vice president shall perform the duties of the president in his absence or at his request. The vice president is in charge of the Quivera, Inc. facility maintenance.
(c) Secretary: The secretary shall maintain the archives, complete the official publication for all announcements and dates in a timely manner, maintain minutes of meetings, and respond to correspondence.
(d) Assistant Secretary: The assistant secretary shall perform the duties of the secretary in his absence or at his request.
(e) Treasurer: The treasurer shall have fiscal responsibility for Quivera, Inc.
He shall be responsible for timely payment of bills, Insurance and monetary reports at each business meeting.
(f)Rangemaster: The Rangemaster shall appoint additional rangemasters to direct any group shooting activities. He shall be responsible for safety regulations, rules of conduct and code of ethics. He will keep the recorded data from Quivera, Inc. range activities.
(g) Assistant Rangemaster: The assistant Rangemaster will serve as Rangemaster when necessary. The assistant Rangemaster is an elected officer.
(h) All elected 7 officers are members of the Board of Directors.
The Board may create other offices and prescribe duties. The Board may abolish such offices, other than elected offices, at any time.
(i) In the event of vacancy caused by death, resignation, suspension, removal or permanent disability of an officer named in Article Five; the Board at the next business meeting shall fill the vacancy.
ARTICLE SEVEN – MEETINGS AND DUTIES OF MEMBERS:
Section 1.Meetings:
(a) Regular business meeting of Quivera, Inc. shall be held on the second Thursday of March, July, and November of each year
(b) The Annual Meeting shall be the November meeting each year.
(c) The Board, upon advance notice of 24 hours, may call a special meeting by notification of all officers or a majority.
(d) Any member may request a special meeting by presenting his/her request to the Club Secretary in writing
(e) A quorum shall consist of two (2) officers and six (6) members.
Section 2. Duties of Members.
(a) It is a duty of each member to promote safety and good conduct at all times: To report destruction of property and inappropriate behavior.
ARTICLE EIGHT – ORDER OF BUSINESS
Section 1.Business:
(a) Regular business meetings may include roll call, reading of the minutes, and report of officers, report of committees, old business, and new business.
(b) Robert’s Rules of Order shall prevail for the business meetings.
ARTICLE NINE – AMENDMENTS:
(a) These bylaws may be amended at a regular business meeting by a majority vote of eligible members present, provided that 30 days written notice has been provided prior to the final vote.
(b) Such notice shall be posted on the bulletin board in the main Club room.
( c) Members or officers who wish to propose changes to these bylaws must submit the proposed change to the club Secretary t least 45 days prior to the next scheduled business meeting in order to comply with Section A. of this article
ARTICLE TEN -CLUB SEAL
(a) The club shall have an emblem as adopted by the members.
ARTICLE ELEVEN – YEARLY EXPENDITURES:
(a) The board shall be authorized to spend an amount of up to $500.00 for Quivera, Inc. improvements; Additional amounts may be authorized by majority vote of the membership.
(b) The president may spend an amount of up to $250.00 for operations.
ARTICLE TWELVE – RANGE RULES:
(a) The Range Master shall establish range rules, as approved by the board of directors.
(b) The Rangemaster has the authority to direct any member to retake the Safety Orientation Class, or any other training, which the Rangemaster believes is necessary to insure the safety of said member and all other users of the range. The Rangemaster may also restrict said member's access to the club facility pending satisfactory completion of the required training.
ARTICLE THIRTEEN – MEMBER PRIVACY
(a) The privacy of member information shall be respected by the Board of Directors and any other member(s) who shall be given access to membership information for the purpose of the conduct of club business.
(b) No person shall use membership information for any personal, business, or political reason. The Board of Directors shall not release membership list(s) to anyone except for use in club specific business, such as Newsletters, notification of meetings or other club activities.
( c) As privacy violations can have serious legal consequences, violation of member privacy will be treated as serious violation of club policy and may result in expulsion from the club.
